Terms of Service

Introduction

These Terms of Service (“Terms”) govern the use of the Walnut Ridge Construction LLC website, services, and communications (“Services”). By visiting our website, submitting a form, or entering into a construction agreement with us, you agree to these Terms.

If you are entering into a construction agreement with Walnut Ridge Construction LLC (“WRC,” “we,” “our,” or “us”), those written agreements govern the specific terms of your project and will prevail in the event of any conflict with these Terms.

Scope of Services

Walnut Ridge Construction provides new home construction, renovations, and additions in Tennessee. All estimates, allowances, and project schedules are subject to written approval and are governed by the signed Construction Agreement (Fixed Price or Cost Plus) for each specific project.

Our website and communications also provide general information and marketing materials intended for prospective clients. Nothing on this site constitutes a binding offer without a signed written agreement.

Construction Agreements

Each project is governed by one of the following:

• Fixed Price Contract with Allowances — a defined price for the project, with allowances for certain finish selections.

• Cost Plus Contract — project costs billed at actual expense plus an agreed percentage fee.

Change Orders, allowances, payment schedules, and warranty details are fully defined in the individual signed Construction Agreement.

Estimates, Pricing, and Payments

• All estimates and prices shown on our website or in marketing materials are for informational purposes only.

• Final pricing, deposit requirements, and payment schedules will be outlined in the signed Construction Agreement.

• Payments are due as agreed, typically within three (3) business days of invoicing, unless otherwise specified in writing.

• Failure to pay according to the schedule may result in suspension of work and possible termination of the agreement.

Change Orders

Any changes to materials, finishes, or design after execution of a contract must be documented on a signed Change Order Form. Change orders may result in additional costs and schedule adjustments.

Project Timeline and Delays

We strive to complete projects on schedule; however, completion dates may be affected by factors beyond our control, including weather, supply chain delays, material availability, or client-requested changes. Such delays do not constitute a breach of contract.

Warranties

Walnut Ridge Construction warrants all work for one (1) year from the date of completion or occupancy (whichever comes first) against material or workmanship defects under normal use.
The warranty covers repair or replacement of defective items as determined by WRC. This warranty is the sole and exclusive remedy and replaces all other express or implied warranties.

Limitation of Liability

To the fullest extent permitted by law, Walnut Ridge Construction LLC and its employees, subcontractors, or affiliates are not liable for indirect, incidental, or consequential damages arising from your use of this website or our services.

We are not responsible for:

• Delays caused by weather, labor shortages, or material unavailability.

• Damage resulting from modifications or maintenance by others after project completion.

• Issues arising from landscaping, drainage changes, or soil conditions beyond our control.

Our total liability for any claim shall not exceed the amount paid to us under the applicable Construction Agreement.

Default and Termination

If a client fails to make payments or breaches other terms of their Construction Agreement, Walnut Ridge Construction may:

• Suspend work until payments are current;

• Retain all deposits as liquidated damages; or

• Terminate the agreement and pursue all available legal remedies.

Permits, Utilities, and Access

Clients are responsible for ensuring utility service availability to the job site. Walnut Ridge Construction will coordinate required building permits and inspections as defined in the project agreement. The client must provide access to the property for our personnel, subcontractors, and equipment as needed.

Materials and Substitutions

If certain materials become unavailable, WRC reserves the right to substitute items of equivalent quality and appearance. All substitutions will be discussed with the client in advance when practical.

Insurance and Risk of Loss

Walnut Ridge Construction maintains builder’s risk, liability, and worker’s compensation insurance for active projects. Clients are encouraged to obtain homeowner’s insurance prior to occupancy.

Intellectual Property

All website content, images, plans, and documents created by Walnut Ridge Construction remain the property of WRC and may not be copied, distributed, or reused without written permission.

Dispute Resolution

Any disputes arising under these Terms or an executed Construction Agreement shall be governed by the laws of the State of Tennessee. Both parties agree to attempt good-faith resolution. If unresolved, disputes may be settled through binding arbitration in Monroe County, Tennessee.

Website Use

By using our website, you agree not to:

• Use our site for any unlawful purpose.

• Attempt to gain unauthorized access to our systems.

• Copy, scrape, or reproduce site content without permission.

We reserve the right to modify or remove content at any time without notice.

Indemnification

You agree to indemnify and hold harmless Walnut Ridge Construction, its owners, employees, and affiliates from any claims, losses, or damages resulting from your violation of these Terms or misuse of our website.

Modifications to Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised effective date. Your continued use of our website or services constitutes acceptance of the updated Terms.
